Uplizd is an AI workflow builder platform provided by Uplizd Inc. The platform uses a hybrid licensing model to balance openness with sustainability. Different components of the Uplizd platform are licensed under different terms as described below.
Uplizd Cloud Service (SaaS)
The Uplizd cloud-hosted service (accessible at uplizd.ai and related domains) is provided as a proprietary Software-as-a-Service under the following terms:
- Limited, non-exclusive, non-transferable license to use the service for your internal business purposes or personal use
- Usage subject to your selected subscription plan and applicable usage limits
- You retain ownership of workflows, data, and content you create using the platform
- Subscription fees are non-refundable except as required by law
Restrictions and Prohibited Uses
When using Uplizd (Cloud or Enterprise), you may NOT:
- Multi-Tenant SaaS: Use Uplizd to operate a multi-tenant SaaS service for third parties without explicit written authorization from Uplizd Inc.
- Remove Branding: Remove, modify, or obscure the Uplizd logo, copyright notices, or other proprietary markings from the platform interface
- Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to derive source code from the platform (except as permitted by law)
- Resell or Redistribute: Sublicense, resell, rent, lease, or redistribute the platform to third parties
- Use the platform in violation of applicable laws, regulations, or to create harmful, illegal, or malicious content
Enterprise and Self-Hosted Deployments
Uplizd Enterprise licenses are available for organizations that require:
- Self-hosted or on-premises deployments
- White-label solutions or custom branding
- Advanced security, compliance, or customization features
- Dedicated support and SLA agreements

Intellectual Property Rights
Uplizd Inc. retains all right, title, and interest in and to the Uplizd platform, including all intellectual property rights. This includes but is not limited to:
- All software code, algorithms, architecture, and technical implementations
- Trademarks, logos, and brand elements including "Uplizd"
- User interface designs, visual elements, and user experience
- Documentation, tutorials, and other content provided by Uplizd
Your Content: You retain all rights to the workflows, automations, integrations, and data you create using Uplizd. Uplizd Inc. will not claim ownership of your content, but may use it to provide and improve the service as described in our Privacy Policy.
Data and Privacy
Your use of Uplizd is subject to our Privacy Policy, available at https://uplizd.ai/privacy-policy/. We are committed to protecting your data in compliance with GDPR, CCPA, and other applicable data protection regulations.
Warranty Disclaimer
THE UPLIZD PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. UPLIZD INC. DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE FROM HARMFUL COMPONENTS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UPLIZD INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF OR INABILITY TO USE THE UPLIZD PLATFORM.
UPLIZD INC.'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Term and Termination
This license is effective until terminated. We may suspend or terminate your access if you violate these terms. You may terminate by canceling your subscription. Upon termination, your right to use Uplizd ceases immediately, though data retention is governed by our Privacy Policy and applicable law.
Modifications to License Terms
Uplizd Inc. reserves the right to modify these license terms at any time. We will provide notice of material changes via email or through the platform. Continued use of Uplizd after changes take effect constitutes acceptance of the modified terms.
Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
